As part of the corporate governance and operational management upgrade agreed with UK Sport, the NISA Board of Directors undertook to move away from the structure of Portfolio Directors and Portfolio Sub Groups.

It was agreed to put in place an enhanced professional staff structure to manage the full range of NISA’s activities, and an appropriate set of technical advisory committees which will collaborate with the staff and report to the Board. Article 8 therefore provides for:

  • technical advisory committees to be established, covering each discipline in the sport of ice skating;
  • all technical advisory committee members to be elected or appointed, as the case may be, on the basis of their skills and experience;
  • a majority of members on each technical advisory committee to be elected by the NISA Voting Members;
  • all technical advisory committee members to be limited (in compliance with good practice under the Code for Sports Governance) to a maximum of 2 x 4 years terms of office.

Audit Committee

One of the changes NISA has already made is the creation of an Audit Committee. The audit committee, has been agreed and established by the NISA Board using its powers under the existing 2013 Articles.  The Audit Committee will now support the NISA Board to oversee the activities of the company at a strategic level, with regard to financial control, governance, internal audit and risk management matters. The Audit Committee will check and review reports produced by the Association’s management and provide recommendations and advice to the NISA Board on matters and policies of the company within the committee’s field of specialisation.

The Audit Committee is chaired by the Independent Non-Executive Director (for financial matters), and includes the Independent Non-Executive Director (for legal matters).  There are also plans for the Audit Committee to recruit a further independent, non-director committee member who can bring additional expertise to the committee.

NISA already has a Finance Sub-Group, which focuses separately on financial management at the operational level of the Association.  In order to provide appropriate linkage, the finance portfolio director is included as a member of the Audit Committee.

Articles of Association

You asked we listened


Taking account of feedback from the NISA Membership and the EGM Focus Group, amendments have been included in Article 38 to allow:

• individuals of 16 years of age who become Full Annual Members to exercise a vote in their own right; and
• the authorised parent or guardian of individuals below 16 years of age, who become Full Annual Members, to exercise a vote on the individual’s behalf.

If the amended Articles are passed at the EGM on 2 December 2017, then any existing Associate Members who apply and are accepted to become Full Annual Members, and who have been in membership of NISA for a total of at least 13 months by the date of the 2018 AGM, will be able to exercise their vote at the 2018 NISA AGM and thereafter.
